1. Acceptance
By creating an account or using the services provided by Missed Call Help AI Ltd ("we", "us", "Missed Call Help AI") at missedcallhelpai.com or app.missedcallhelpai.com (together, "the Services"), you ("Customer", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.
2. Definitions
- "Account" — your registered account on our Services.
- "Subscription" — the recurring plan you've selected (Starter, Growth, Pro, Enterprise) or PAYG credit.
- "Customer Data" — data you upload to or generate through the Services, including your knowledge base, recordings, transcripts, and contact lists.
- "End User" — anyone who interacts with your AI receptionist (e.g. callers, SMS senders).
- "AI Output" — content generated by our AI models, including spoken responses, transcripts, and quotes.
3. Account registration & eligibility
You must be at least 18 years old and using the Services for business purposes. You agree to provide accurate registration information and to keep it up to date. You are responsible for all activity under your Account, including for any users you invite.
4. Subscription & billing
Subscriptions auto-renew on a monthly or annual basis. Fees are charged in advance to your chosen payment method. You can cancel at any time from your Account; cancellation takes effect at the end of the current billing cycle. Refunds, where applicable, are governed by our Refund Policy.
Voice minute usage in excess of your plan's included allowance is charged at the overage rate published on our pricing page (currently £0.50/min). You may set soft and hard caps to control overage.
5. Free trial
New customers receive a 30-day money-back guarantee with 50 included voice minutes. 30-day money-back guarantee. After the trial, the AI will stop answering until you add a payment method and select a plan. We do not auto-charge after a trial without explicit consent.
6. Acceptable use
Your use of the Services is governed by our Acceptable Use Policy. Violations may result in suspension or termination.
7. Customer Data & content rights
You retain all ownership of your Customer Data. You grant us a limited, non-exclusive, royalty-free licence to host, process, and transmit your Customer Data solely to provide and improve the Services. You are responsible for ensuring you have the right to upload any data, including any End User personal data, and for complying with applicable telecommunications, marketing consent (PECR/TCPA), and data protection laws.
8. Intellectual property
The Services, including all software, models, designs, and documentation, are and remain our property or that of our licensors. We grant you a limited, non-exclusive, non-transferable licence to use the Services as permitted by your Subscription. You may not reverse engineer, copy, or resell the Services without our written agreement (a separate Partner / Reseller Agreement is available).
9. AI output disclaimer
AI Output is generated automatically and may occasionally contain errors, omissions, or inaccuracies. You acknowledge that:
- You are responsible for reviewing AI-generated quotes, bookings, and information before relying on them.
- We do not guarantee that AI Output will be accurate, complete, or fit for any particular purpose.
- We are not liable for business decisions taken in reliance on AI Output.
- You should configure your knowledge base, prompts, and escalation rules so that AI Output meets your business requirements.
10. Telephone communications consent
You are responsible for ensuring that End Users have given any necessary consent to receive automated calls or SMS, in compliance with the UK Privacy and Electronic Communications Regulations (PECR), the Telephone Consumer Protection Act (TCPA, US), Canadian CASL, and equivalent laws. We provide tooling to help (consent capture, opt-out handling) but you remain the data controller for End User data.
11. Service availability & SLA
We aim for 99.9% monthly uptime. SLA credits apply on Pro and Enterprise plans only — see your plan terms for details. Scheduled maintenance is excluded from uptime calculations and notified at least 48 hours in advance.
12. Suspension & termination
We may suspend or terminate your Account if you breach these Terms, fail to pay, or use the Services in a way that risks harm to others. We will give reasonable notice and an opportunity to remedy where possible. You may terminate your Account at any time. On termination, you may export your Customer Data within 30 days; thereafter we will delete it (subject to legal retention).
13. Limitation of liability
To the fullest extent permitted by law:
- Our aggregate liability under these Terms is limited to the fees paid by you to us in the 12 months preceding the claim.
- Neither party is liable for indirect, special, consequential, incidental, or punitive damages, or for loss of profits, revenue, business opportunity, or goodwill.
- Nothing limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
14. Indemnity
You agree to indemnify and hold us harmless from claims arising from (a) your breach of these Terms; (b) your unlawful use of the Services; (c) your Customer Data infringing a third party's rights; or (d) End User claims arising from your handling of their data or communications.
15. Disputes & governing law
These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection laws give you a right to bring a claim in your local courts.
16. General provisions
- Changes: We may update these Terms with at least 30 days' notice for material changes.
- Assignment: You may not assign without our consent. We may assign in connection with a merger, acquisition, or sale of assets.
- Severability: If any provision is held unenforceable, the rest remain in force.
- Entire agreement: These Terms, together with our Privacy Policy, AUP, DPA, and any order form, are the entire agreement between us.
- No waiver: A failure to enforce a right is not a waiver of it.
